I have a requirement for file to file passthrough scenario where an .xls formatted file placed at sender side and it has to be posted at target path in .xls format. Do we need File Content Conversion for that.

Nope certainly doesn't sound like it from your description. No Enterprise Services Repository objects required, just Integration Builder objects.
