sapinst does not work

I am trying to upgrade SQL server 2000 to SQL Sever 2005 and trying to

run the tool called "SAP tools for SQL Server" with sapinst as applying

note 799058. getting following error message, please help

Hi,

this means that the default communication port 21200 between sapinst engine and sapinst GUI is already occupied. Most probably you started sapinst before, but you did't fully closed, e.g. some old sapinst.exe process is still hanging and occuping this port. Check it, and if there is one ore more, kill them all and try it again.
