There are no issues with two portals accessing the same R/3 backend system. If you are using SSO you will have to go through the same process of setting up the system connection and importing certificates that you did on the sp2 portal.
You may run into problems if you try to install the NW portal on the same hardware as your sp2 portal. But you didn't mention that as a requirement.
